Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between you (“you”, “your”) and SystemK (“we”, “us”, “our”), the publisher of the Grocent mobile application (the “App” or the “Service”), operating from the State of Qatar.
By downloading, creating an account on, or using Grocent, you accept these Terms. If you do not accept them, do not use the App.
Our Privacy Policy explains how we handle your personal information and forms part of this agreement. Please read it too.
If you are entering into these Terms on behalf of an organisation, you confirm you have authority to bind that organisation, and “you” refers to it.
Eligibility
To use Grocent you must:
- be at least 13 years old, or 16 if you are in the European Economic Area, the United Kingdom, or another jurisdiction that sets a higher minimum age for consent to online services;
- have the legal capacity to enter into a binding contract, or have your parent or guardian's consent and supervision;
- have a valid Google or Facebook account with which to sign in;
- not be barred from using the Service under the laws of your country or any applicable sanctions or export-control regime.
If you are under the age of majority where you live, you may only use Grocent with the involvement of a parent or guardian who agrees to these Terms on your behalf.
The service
Grocent is a household grocery management app. It lets a group of people share one grocery list, request and approve items, track what has been purchased, save reusable lists, define custom items and categories, attach photos to items, and search a bundled catalogue of common products.
The App is offered in English, Arabic, Filipino, Urdu, Indonesian, Sinhala, Tamil and Amharic. Where these Terms are translated and a conflict arises, the English version prevails to the extent permitted by applicable law.
Grocent is an organisational tool. It does not sell groceries, does not process orders with any retailer, does not provide nutritional, dietary, allergen or medical advice, and does not verify the accuracy of the product information in its bundled catalogue. Always check the actual product before relying on any information shown in the App — particularly for allergies or dietary restrictions.
Your account
You create a Grocent account by signing in with Google or Facebook. Grocent does not hold a password of its own; the security of your account therefore depends on the security of the provider account you use to sign in.
You agree to:
- provide accurate information and keep it current;
- keep your Google or Facebook account secure, and enable two-factor authentication where available;
- be responsible for all activity that occurs under your Grocent account;
- notify us at support@systemk.dev promptly if you suspect unauthorised use.
One person, one account. Do not create accounts by automated means, do not impersonate anyone, and do not sell or transfer your account to another person.
You may delete your account at any time from the Profile screen in the App. See Termination, and read the cancellation note in Cancellation and refunds first if you have an active subscription.
Households and roles
A household is a shared workspace. Members are invited by scanning a QR code — either the Household Owner scanning a new member's account code, or a new member scanning the household's code.
Roles

What you should understand before joining
- Everything in a household is shared. Every member can see the items, notes, photos and saved lists in that household, and can see your display name against items you request or purchase.
- The Owner controls the household. The Owner may change your permissions, remove you, or delete the household — which permanently deletes its list, saved lists, purchase history and photos for everyone.
- Only share QR codes with people you trust. A household code is an invitation to your shared list. Treat it accordingly.
- Leaving. You may leave a household at any time. Content you contributed stays with the household, because it belongs to the shared list the others continue to use. If you were the last member, the household and its content are deleted. If you were the Owner and members remain, ownership transfers to a remaining member so the household keeps working.
You are responsible for who you invite into a household and for the content your household members contribute. We are not a party to disputes between household members. If a dispute arises, the Owner controls the household, and any member may leave at any time.
Your content
“Your Content” means everything you add to Grocent: item names, descriptions and notes, list and category names, household names, and photos you upload.
You own it
You retain all ownership rights in Your Content. These Terms give us no ownership of it.
The licence you give us
So that the App can actually function, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, resize, re-encode and transmit Your Content, solely for the purpose of operating and providing the Service to you and your household members. This licence exists only to run the Service; it ends when you delete the content or your account, subject to reasonable backup cycles.
We do not use Your Content for advertising, do not sell it, do not publish it, and do not use it to train machine-learning models.
Your responsibilities
You confirm that, for everything you add:
- you have the rights necessary to upload it and to grant the licence above — in particular, you own or are licensed to use any photo you upload;
- it does not infringe anyone's intellectual property, privacy or other rights;
- it does not breach Acceptable use or any applicable law.
Please do not put sensitive personal information — health, financial or government identifiers — into item names, notes or photos. These fields are shared with your entire household and are not designed for that kind of data.
Backups
We take reasonable care of Your Content, but you are responsible for keeping your own copies of anything important to you. We do not guarantee that deleted content can be recovered.
Acceptable use
You agree not to:
- use Grocent for anything unlawful, or to organise, promote or facilitate unlawful activity;
- upload content that is illegal, infringing, defamatory, harassing, hateful, sexually explicit, violent, or that depicts or exploits minors;
- upload malware, or content designed to damage, disable or compromise any system;
- impersonate another person, or misrepresent your affiliation with anyone;
- attempt to access another user's account, another household's data, or any part of our systems you are not authorised to reach;
- probe, scan, or test the vulnerability of the Service, or breach or circumvent its security or authentication measures — other than good-faith security research reported responsibly to support@systemk.dev;
- circumvent, disable or interfere with subscription tiers, usage limits, rate limits or quotas, including by modifying the App or using a modified client;
- reverse engineer, decompile or disassemble the App, except to the extent that applicable law expressly permits it despite this restriction;
- use bots, scrapers or other automated means to access the Service, or place unreasonable load on our infrastructure;
- resell, sublicense, rent or commercially exploit the Service without our written permission;
- use the image upload feature as general-purpose file storage, or upload images unrelated to grocery items;
- remove or obscure any proprietary notice in the App.
We may investigate suspected breaches and may suspend or terminate access as described in Termination. Where content is illegal or seriously harmful, we may remove it and report it to the appropriate authorities.
Subscriptions and billing
Grocent is free to use with the limits shown in Plans and limits. Optional paid subscriptions — Grocent Pro and Grocent Ultra — raise those limits.
8.1 Auto-renewing subscriptions
Grocent subscriptions are auto-renewable. Payment is charged to your Apple ID or Google Play account at confirmation of purchase. Your subscription renews automatically at the same price and for the same period unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscription in your App Store or Google Play account settings at any time.
8.2 Products, duration and price
Prices below are reference prices in US dollars. The actual price shown in the App and in the store at the moment of purchase is the price that applies — stores convert to your local currency and may include taxes, and prices can vary by region.

8.3 Payment and verification
All payments are processed by Apple or Google, not by us. We never receive your card number or payment credentials. When you subscribe, the App sends the store's receipt to our verification service, which confirms it directly with Apple or Google before your plan is activated. Apple and Google also notify us when a subscription renews, lapses or is cancelled.
Your subscription is tied to your Grocent account. Where a household member holds a paid subscription, the household's limits reflect the best active subscription among its members.
8.4 Restoring purchases
If you reinstall the App or change devices, use Restore purchases in the App to recover an active subscription. You must sign in with the same Grocent account and the same Apple ID or Google account used to purchase.
8.5 Price changes
We may change subscription prices. Any change applies from the next renewal, never retroactively. Apple and Google will notify you in advance as their rules require, and depending on the platform you may need to consent before the new price takes effect. If you do not agree, cancel before the renewal date.
8.6 Free trials and promotions
If we offer a free trial or promotional rate, its specific terms will be shown at the point of purchase and form part of these Terms. Unless stated otherwise, a trial converts to a paid auto-renewing subscription at the end of the trial period unless cancelled at least 24 hours beforehand. Any unused portion of a free trial is forfeited when you purchase a subscription, where the platform's rules so provide.
Plans and limits
Each plan carries the limits below. They are enforced by the Service, and are stated here as exact figures rather than as “unlimited” so you know precisely what you are getting.

Photo uploads are capped at 5 MB per image on every plan, and images are automatically resized on your device before upload. Fair-use rate limits and daily upload quotas apply on all plans to keep the Service available and affordable for everyone.
If your subscription ends
When a paid subscription lapses, your household returns to the Free tier limits. Existing content is not deleted, but while you are over a Free limit you will not be able to add new items of that kind until you go back under it or resubscribe.
We may adjust plan limits and features over time. If we materially reduce what a paid plan provides, we will give you reasonable advance notice, and you may cancel and seek a pro-rata refund through the relevant store.
Cancellation and refunds
How to cancel
You cancel through the store you purchased from, not through us:
- iOS — Settings → your name → Subscriptions → Grocent → Cancel Subscription.
- Android — Google Play Store → Menu → Subscriptions → Grocent → Cancel.
Cancel at least 24 hours before the current period ends to avoid the next charge. After cancelling, your plan stays active until the end of the period you already paid for.
Deleting your Grocent account does not cancel your subscription. Billing is handled by Apple or Google, and continues until you cancel it there. Always cancel before deleting your account.
Refunds
Refunds are issued by Apple and Google under their own policies — we cannot process them ourselves.
- iOS — request a refund at reportaproblem.apple.com.
- Android — request a refund through Google Play.
Except where the law requires otherwise, payments are non-refundable and there are no refunds or credits for partially used periods. Nothing here limits any statutory right of withdrawal, cancellation or refund you have under the consumer law of your country — those rights apply regardless of this section. Third-party services
Grocent relies on services operated by other companies:
- Google Firebase — authentication, data storage and synchronisation, and subscription verification.
- Google Sign-In and Facebook Login — account sign-in.
- Cloudflare — storage and delivery of item photos.
- Apple App Store and Google Play — app distribution and payment processing.
Your use of these services is also governed by their own terms and privacy policies. We are not responsible for third-party services, and their availability is outside our control — an outage at a provider may affect Grocent. If you revoke Grocent's access at your sign-in provider, or that provider terminates your account, you may lose access to your Grocent account.
The App may contain links to third-party websites. We do not endorse them and are not responsible for their content.
Intellectual property
The Grocent app — its software, design, user interface, name, logo, and the bundled product catalogue — is owned by SystemK and its licensors, and is protected by copyright, trademark and other laws. Nothing in these Terms transfers any of those rights to you.
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use one copy of the App on devices you own or control, for your own personal, non-commercial household use. All rights not expressly granted are reserved.
“Grocent” and the Grocent logo are trademarks of SystemK. You may not use them without our prior written permission. Other names and marks in the App belong to their respective owners.
If you believe content in Grocent infringes your copyright, write to support@systemk.dev with enough detail to identify the work and the content complained of, your contact details, and a statement that you have a good-faith belief the use is unauthorised. We will investigate and remove infringing content where appropriate.
If you send us feedback or suggestions, you grant us an unrestricted, perpetual right to use them without obligation or compensation to you.
Availability and changes
We aim to keep Grocent running reliably, but we do not promise uninterrupted availability. The Service may be unavailable during maintenance, updates, or because of a fault or an outage at one of our providers. Some features need an internet connection and will not work offline.
We may, at any time:
- add, change, suspend or remove features;
- set or adjust technical limits, quotas and rate limits;
- release updates, which you may need to install to keep using the Service;
- discontinue the Service entirely.
Where a change is material and adverse to you, we will give reasonable advance notice in the App or by email where practicable. If we discontinue the Service, we will give you at least 30 days' notice and a reasonable opportunity to export your data, and we will refund the unused portion of any prepaid subscription through the relevant store.
We may offer beta or experimental features. These are provided as-is, may be unstable or withdrawn without notice, and are excluded from any commitment in these Terms.
Termination
By you
You may stop using Grocent at any time, and may delete your account from the Profile screen in the App. Deletion is permanent. It removes your profile, your sign-in credentials with Grocent, and your household membership; where you were the last member of a household, it also deletes that household's list, saved lists, purchase history and photos. Remember to cancel any subscription first — see Cancellation and refunds.
By us
We may suspend or terminate your access if you materially breach these Terms — in particular Acceptable use — if required by law, or if your use poses a security risk or an unreasonable burden on our infrastructure.
Except where a breach is serious, illegal, or where advance notice would be impractical or would compound the harm, we will give you notice and a reasonable opportunity to put things right before terminating. If we terminate your account without cause, we will refund the unused portion of any prepaid subscription through the relevant store.
After termination
Your licence to use the App ends and your access stops. Sections that by their nature should survive — Your content (ownership), Intellectual property, Disclaimers, Limitation of liability, Indemnity, Governing law and disputes and General terms — continue to apply.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
We specifically do not warrant that:
- the Service will be uninterrupted, timely, secure or error-free;
- defects will be corrected;
- the Service will meet your requirements;
- data will never be lost or corrupted — keep your own copies of anything important;
- information in the bundled product catalogue is accurate, complete or current. It is reference data for convenience only. Always check the actual product, particularly for allergens and dietary restrictions.
Some jurisdictions do not allow the exclusion of implied warranties or certain consumer guarantees. Where that is the case — including under EU, UK, Qatari and other consumer protection law — those exclusions do not apply to you, your statutory rights are unaffected, and you keep the full benefit of them.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SYSTEMK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE — WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$50.
These limits do not apply to liability that cannot lawfully be limited — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or wilful misconduct.
If you are a consumer, your statutory rights come first. Nothing in these Terms excludes or restricts any right or remedy you have under mandatory consumer protection law in your country, and where such law conflicts with this section, that law prevails.
We are not liable for content posted by other household members, for the acts or omissions of people you invite into a household, or for failures caused by events beyond our reasonable control, including outages at our third-party providers.
Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless SystemK and its personnel from any claim, liability, damage, loss or reasonable expense (including legal fees) brought by a third party and arising from: your breach of these Terms; Your Content; your infringement of another person's rights; or your unlawful use of the Service.
We will notify you promptly of any such claim and will not settle it without your consent, which you will not unreasonably withhold. This section does not apply to the extent the claim arises from our own breach, negligence or misconduct, and it does not apply to consumers where mandatory local law does not permit it.
Governing law and disputes
These Terms and any dispute arising out of them or the Service are governed by the laws of the State of Qatar, without regard to conflict-of-law principles. The courts of the State of Qatar have jurisdiction over any dispute.
If you are a consumer, this does not deprive you of the protection of the mandatory consumer law of the country where you habitually reside, and you may bring proceedings in the courts of that country where its law gives you that right.
Let's try to resolve it first
Most problems can be sorted out quickly. Before starting formal proceedings, please contact support@systemk.dev describing the issue and what you would like us to do. We will engage in good faith and aim to resolve it within 30 days. This step is a request, not a bar to your legal rights.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
General terms
Changes to these Terms
We may update these Terms as the App develops or the law changes. The Last updated date at the top always shows the current version. For material changes we will give reasonable notice in the App or by email before they take effect. Continuing to use Grocent after that means you accept the updated Terms; if you do not accept them, stop using the Service and delete your account.
Entire agreement
These Terms and the Privacy Policy are the entire agreement between you and us about the Service, and replace any earlier agreement or understanding on the subject.
Severability
If any provision is held invalid or unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed if it cannot be. The rest of these Terms stay in full force.
No waiver
If we do not enforce a provision, that is not a waiver of our right to enforce it later.
Assignment
You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, provided your rights are not materially reduced.
No third-party rights
Except as stated in Apple App Store terms, these Terms create no rights for anyone other than you and us.
Force majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemics, government action, network or power failures, or third-party provider outages.
Export and sanctions
You confirm you are not located in, and are not a national or resident of, a country subject to a comprehensive embargo, and that you are not on any restricted-party list.
Apple App Store terms
The following applies where you obtained Grocent from the Apple App Store, and prevails over any conflicting provision in these Terms for that purpose.
- These Terms are between you and SystemK only, not with Apple. Apple is not responsible for the App or its content.
- The licence granted in Intellectual property is limited to a non-transferable licence to use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide maintenance or support for the App.
- If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to any warranty are our responsibility, not Apple's.
- We — not Apple — are responsible for addressing any claim by you or a third party relating to the App or your possession and use of it, including product liability claims, any claim that the App fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or privacy law.
- In the event of a third-party claim that the App or your possession and use of it infringes that party's intellectual property rights, we — not Apple — are solely responsible for the investigation, defence, settlement and discharge of that claim.
- You confirm that you are not located in a country subject to a US Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any US Government list of prohibited or restricted parties.
- You must comply with any applicable third-party terms of agreement when using the App.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
- Support enquiries go to support@systemk.dev.
Where you obtained Grocent from Google Play, your use is additionally subject to the Google Play Terms of Service, and Google is not a party to these Terms.
